Market Study Released: "Terrex Energy Completes Private Placement Of $2.7m"

Sept. 7, 2010 - PRLog -- Terrex Energy Inc., (Terrex Energy) completed the private placement of 15,169,932 common shares at a price of CAD 0.19 per share ($0.18 per share) for gross proceeds of CAD 2.8 million ($2.71 million). The offering was subscribed by Macquarie Resource Capital Canada Ltd., (MRC) a wholly owned subsidiary of Macquarie Bank Limited (MBL). Following the placement, MRC has increased its total investment in Terrex Energy to CAD 4 million ($3.87 million), and now holds 27% interest in the company.

Terrex Energy also issued 2 million purchase warrants, each warrant entitling the holder to purchase one common share at an exercise price of CAD 0.19 per share ($0.18 per share). The warrants are exercisable as to one-third each on the first, second and third six month periods from the date of grant and will expire on July 15, 2015.

Leede Financial Markets Inc. and Nova Bancorp Securities Ltd. acted as the financial advisors to the company for the offering. Terrex Energy paid a finder's fee of 5% and 2% of the gross proceeds raised from the offering to Leede and Nova respectively. The securities issued in the offering are subject to a four-month hold period, expiring on November 16, 2010

The company intends to use the net proceeds from the offering to adopt Enhanced Oil Recovery technique and to build its infrastructure.
