April 16, 2012 - PRLog -- When a private equity GP first considers a potential acquisition, the first two questions should be: “How can I improve this business?” followed by, “What is the right capital structure for the deal?”

It is this latter challenge that is the focus of “Deal Structure Toolkit,” the second segment in a fascinating conversation between Christian Oberbeck, a Managing Partner with Saratoga Partners, Kenneth Clay, a Senior Managing Director at Corinthian Capital Group, and Gino Sabatini, a Managing Director with W. P. Carey. The first segment of this Privcap series is called “Beyond Traditional Finance.”

In the conversation, Oberbeck sets forth the many forms of financing available to a resourceful business acquirer. The discussion then turns to how GPs asses the attractiveness, and then execute on, important non-traditional forms of deal finance, such as sale-leaseback financing and even seller financing. Other topics discussed include unlocking the value of property to finance growth mid-way through the investment period, using assets other than real estate as the basis for a sale-leaseback, solving complex real-estate ownership issues, defining the use of financing proceeds, and the risk of being “too creative” in structuring a proposed deal.

Kenneth Clay

Kenneth Clay is a founding member of Corinthian Capital and serves as Chairman of Beta International, Inc. and on the Board of Directors of Sabre Industries, Inc. and Control Solutions LLC. Prior to Corinthian Capital, Clay was a Managing Director of Lincolnshire Management, where he worked from 1995 to 2004. At Lincolnshire Management, Clay served as a Director of Peripheral Computer Support, Flexstar, Sub/Linc Holdings, Credentials Services International, and Lincolnshire Management.
From 1992 to 1995, Clay was the Chief Financial Officer of LINQ Industrial Fabrics, a multinational manufacturer and distributor of polypropylene industrial fabrics based in Summerville, South Carolina. LINQ was owned by Exxon Chemical Company prior to its being acquired by Lincolnshire Management in 1992. At LINQ, Clay also served on the Manufacturing Management Committee.
Prior to LINQ, Clay was an officer with The Bank of New York Commercial Corporation where he provided financing for a variety of management buyouts, leveraged recapitalizations and turnarounds. Clay completed credit training at the Irving Trust Company prior to its acquisition by The Bank of New York.
Clay is a graduate of Brigham Young University (B.S. 1987) and the University of Texas at Austin (M.B.A. 1988).

hristian Oberbeck’s direct portfolio company responsibilities include Advanced Lighting Technologies, Inc., CEMA Lighting, STC Wireless Resources, Inc., EUR Systems, Inc., CommSoft, Inc. and Koppers Holdings Inc.  Oberbeck also had direct responsibilities for the following fully-realized portfolio companies: Data Return, NAT, Inc., Scovill Fasteners Inc., USI Holdings Corporation and J&W Holding Corporation.
Prior to assuming management responsibility for Saratoga Partners in 2008, Oberbeck has co-managed Saratoga Partners since 1995, when he joined Dillon Read and Saratoga Partners from Castle Harlan, Inc., a corporate buyout firm which he joined at its founding in 1987 and where he was a Managing Director.  Prior to joining Castle Harlan, he worked in the Corporate Development Group of Arthur Young and in corporate finance at Blyth Eastman Paine Webber.
Oberbeck graduated from Brown University in 1982 with a BS in Physics and a BA in Mathematics.  In 1985, he earned an MBA from Columbia University.

Gino Sabatini

Gino Sabatini joined the investment department in 2000 and was promoted to Managing Director in 2009. He also serves as President of Corporate Property Associates 14 Incorporated (CPA®:14), an income generating real estate investment trust (REIT) managed by W. P. Carey. Prior to joining W. P. Carey, he operated a successful theme restaurant as well as a packaged food manufacturing and distribution business.

Sabatini is a graduate of the University of Pennsylvania where he was enrolled in the Management and Technology program. He received a B.Sc. in Mechanical Engineering from the Engineering School, a B.Sc. in Economics from the University of Pennsylvania’s Wharton School and an MBA from Harvard Business School.
