The March Group, LLC Announces the Acquisition of Marston Technical Service

May 18, 2011 - PRLog -- The March Group, LLC, a leading, private mergers and acquisitions advisory firm specializing in the sale of middle-market businesses, announced today the sale of Marston Technical Service, Inc. to MTI Inc. The March Group represented the seller in the transaction on the first week of April 2011.
Marston Technical Service specializes in histology instrumentation, and supports many cytology & general lab instruments. The owner, Patrick Marston, had worked for more than a decade as a field service representative for a medical and laboratory supplies company. When that company was acquired, he left and founded Marston Technical Service in 1990, initially working from his home repairing technological equipment.
Since then, Marston Technical Service has evolved to provide quality service to histology, medical research, quality control, industrial, government and educational laboratories. It also offers service agreements and preventive maintenance contracts on the instruments it provides.  
After 20 years in business, Mr. Marston felt that his business could grow bigger. However, it would require considerable capital and efforts which he felt he could no longer commit himself to. When he got a flyer for a March Group seminar in 2009, he decided to attend and assess his strategic alternatives. Ultimately, he determined that the best direction for his company was to find a buyer with the capital resources to grow the company and one that would bring newfound energy to the table.
The individual buyer, Jon Ward, has known Mr. Marston for 18 years through their sons. In one of their conversations, Mr. Marston mentioned that he was selling his company. Mr. Ward expressed interest in purchasing it, so he was referred to Stephen Dinehart, the managing director at The March Group who represented the seller.
Asked why he wanted to purchase Marston Technical Service, Mr. Ward said simply: “It’s a successful company in a stable industry, and I trust Pat and the company that he built.” It was also an opportunity to take advantage of Marston’s existing clientele to market the products and services from Mr. Ward’s other company. The acquired company has been incorporated and will retain its name.
During the twelve-month marketing period for Marston Technical Service, The March Group received five letters of interest. It was at the end of that period, though that the ultimate letter of interest from Mr. Ward was received. It then took another five months before the deal was finally closed due to concerns about Mr. Marston’s health insurance post-closing.
Mr. Marston will be working indefinitely as a consultant for the company.
