1.   Locating Trust filings with the Securities and Exchange Commission (“SEC”) to show the mortgage securitization process to the subject loan. This includes:
   Identification of the Trust;
   Identification of the Pooling and Servicing Agreement (“PSA”);
   Identification of the relevant sections of the Trust addressing its guidelines, requirements and timetables for receiving, servicing and transferring mortgage loan assets.
2.   A detailed analysis into whether or not the Trust properly received an assignment of the mortgage loan documents, or whether or not it was purchased by the closing date as indicated in the SEC filing by the Trust, are addressed via the Securitization, PSA, and Assignment Research activities.

•   Securitization, PSA, and Assignment Research:
1.   Reconstructing the negotiation, transfer and delivery of the Note;
2.   Reviewing of Note endorsements and the assignment of Mortgage/Deed of Trust (and the Mortgage/Deed of Trust itself) to determine whether the Trust is the actual owner of the Mortgage/Note in question (the “A-B-C-D Chain”);
3.   Identifying documented requirements in the PSA and the Transaction Structure that must be satisfied before the Trust can properly receive mortgage loans; and,
4.   Identifying the Originator of the Loan, the Mortgage/Deed of Trust Trustee, the Servicer, the Custodian, the Depositor, and the Real Estate Mortgage Investment Conduit (“REMIC”) Trustee.

•   Litigation Support Research:
Aiding litigators with mortgage compliance research/analysis to determine:
   Corporate status of the parties to the Assignment;
   Statutory (non)compliance of the Assignment’s execution;
   Applicable Federal provisions (CFRs, HAMP Directives, etc.);
   Egregious omissions and mistakes;
   Onerous/possibly fraudulent actions, including robosigning;
   The (non) authority of the named Notary Public; and,
   Existing civil and/or criminal proceedings involving the parties to the document.

Securitization is the process by which residential and commercial real property mortgage loans are bundled and sold to investors. Securitization can occur months after origination, or it could occur immediately after origination. However, not all loans are securitized.

Investors such as Goldman Sachs, DeutscheBank, Countrywide, Wells Fargo, etc. routinely sell or purchase large blocks of loans and place them into trusts or REMICs (Real Estate Mortgage Investment Conduits). Shares of those are then sold to other investors.

Knowing what happened to a particular loan, where it went and which investment vehicle it ended up in, can be important in foreclosure defense and litigation against lenders, especially for properties located in judicial-foreclosure states.

In non-judicial foreclosure states, this research can be useful in bankruptcy defense, and it can provide the basis for directed discovery or evidentiary hearings.

Here is a list of judicial foreclosure states:

Florida, Indiana, New Mexico, Kansas, North Dakota, Iowa, Illinois, Louisiana, Alabama, Kentucky, Ohio, South Carolina, Delaware, New Jersey, Pennsylvania, New York Connecticut and Maine.

Other states, including California, Oregon, Washington, use either non-judicial foreclosure methods or a combination of both.
