PRLog -- ScottsMiracle-
Gro's Sept. 3 announcement that it will acquire Black Kow expands ScottsMiracle-
Gro's soil portfolio. The deal expands the product range and gives the 57-year-old brand a path to broader national distribution, with closing expected in October.
Key developments: - Purchase option exercised: ScottsMiracle-Gro became Black Kow's exclusive producer, distributor and marketer in January 2026 under a licensing agreement and has now exercised its option to acquire the brand from Organics Management. Terms were not disclosed.
- Portfolio expands: Black Kow brings organic amendments, mature manure and specialty soils alongside Miracle-Gro products, extending Scotts' reach into products for soil improvement.
- M&A remains central to SMG 2.0: CEO Nate Baxter said the deal fits a tuck-in acquisition strategy focused on brands that can be integrated into the core lawn and garden business while expanding consumer reach.
- Management expects financial contribution: CFO Mark Scheiwer said the acquisition should support sales, align with the company's margin profile and be accretive to earnings per share beginning in the first year.
- Growth targets remain disciplined: ScottsMiracle-Gro's August strategy targets average annual total-company net sales growth of 2% to 4% for fiscal 2027 through 2029, alongside margin improvement and free cash flow above $275 million.
Market implication: The deal gives the Lawn & Garden Consumables Market a clear example of a major branded supplier using portfolio expansion and distribution scale to build category reach. ScottsMiracle-
Gro also lists omnichannel expansion, household penetration, product innovation and technology-led efficiency among its priorities.
The October closing and national expansion will determine how quickly Black Kow contributes. The deal puts soil health, growing media and specialty amendments on the strategic agenda.
