NFiniTi Inc. Acquires Metavox Holdings LLC to Enter Web3 and Metaverse Sector

RENO, Nev. - May 27, 2025 - PRLog -- NFiniTi Inc., a pre-revenue company focused on innovative consumer and technology solutions, announced that its subsidiary, NFiniTi 2 Inc., acquired Metavox Holdings LLC, a web3 initiative developing a hyper-realistic Metaverse platform using Unreal Engine 5 and blockchain technology. Finalized on May 20, 2025, this acquisition expands NFiniTi's portfolio into the web3 sector, complementing its recent fintech and beverage ventures.

Under the Share Exchange Agreement, NFiniTi 2 Inc. acquired all of Metavox's membership interests for 90% of NFiniTi 2 Inc.'s equity, issued to Metavox's accredited investors. NFiniTi Inc. retains 10% equity via a dividend and issued a $500,000 convertible promissory note to NFiniTi 2 Inc. with a 50% original issue discount, yielding $250,000. The note, with a 15% annual interest rate, matures on May 20, 2027, and is convertible into NFiniTi Inc.'s common stock at a 25% discount to the 30-day average trading price.

Metavox's Metaverse platform, targeting users in the USA, China, and India, integrates blockchain for secure transactions via its Alpha Coin ($AMETA) and meta world NFTs. It offers immersive experiences for social interaction, remote work, e-commerce, and gaming, featuring user-driven content, a Central Business District, Alpha Stadium for live events, and a planned AAA+ first-person shooter game. Revenue streams include digital real estate, advertising, transaction fees, in-game purchases, and ETH staking rewards.
