Rotary Gallop Reveals the 10 Most Vulnerable S&P 500 Companies to Takeover; Chevron&JC Penny listed

Companies scored in three crucial areas: insider vulnerability, vulnerability to potential activists, and vulnerability to current shareholders. The top 10 most vulnerable lists include Chevron, ConAgra Foods and J.C. Penny respectively.
 
NEW YORK - April 10, 2013 - PRLog -- New York, NY, April 10, 2013  – Rotary Gallop has released the top 10 companies most vulnerable to shareholder action in their S&P 500 Control & Vulnerability Report, the first-ever study of its kind. This vulnerability analysis is a powerful new quantitative Big-Data tool in risk assessment & mitigation for Boards of Directors, CXO’s and their advisors. On the flip side, these vulnerability scores also help activist investors cherry pick target companies – ones where they are more likely to win contested situations.

Companies are ranked and scored in three crucial areas: insider vulnerability (the RG Insider Score™), vulnerability to potential activists (the RG Shark Score™), and vulnerability to current shareholders (the RG Whale Score™). Several prominent companies make the top 10 most vulnerable lists, including Chevron, ConAgra Foods and J.C. Penny respectively. Walmart, Apple and General Electric rank among the least vulnerable companies. Rotary Gallop’s vulnerability measures are based on a radical new approach: direct analyses of stakeholders’ control, or their ability to swing the outcome of a vote. Results show that shareholders typically have 2 to 6 times more control than their ownership stake would indicate. The report goes on to find that traditional notions of “effective” and “significant” control – typically defined by ownership – wrongly classify many shareholders. The vulnerability analyses were based on data provided by FactSet, who are sponsors of the report along with Kleinberg Kaplan.
