June 27, 2010 - PRLog -- Software licensing can be one of the most complex and confusing contracts that a procurement professional has to negotiate. It's hard to finish a deal and not feel like you left something on the table.

Essentials of Software Licensing is designed to help procurement professionals of all backgrounds confidently understand and negotiate the basic components of a fair software licensing deal.

This class will review sample language in a collaborative environment to root out the essentials and trim away the potential "gotchas".

Each student will receive a copy of brief and very generic sample language in the class to use as the basis for discussion.

Topics will include:
•       Specifics of the various software licensing models.
•       Why delivery method for software matters.
•       Software maintenance, what is it, how much should you pay and the perils of auto renewals.
•       Who owns modifications?
•       Acceptance testing, why most software companies want to avoid it.
•       Why patent infringement matters to you.
•       Does source code escrow make sense?
•       How to identify "gotcha" clauses and negotiate your way through them.

Karen Lingua is a seventeen-year procurement veteran with a career emphasis on IT Procurement. Most notably, over a decade's employment with Apple, she was the lead software licensing expert on the indirect procurement team.

Karen has negotiated hundreds of software deals of all varieties and has fallen into many of the traps she will teach you about in this course. Karen has worked for companies like Lockheed, Apple and Genentech and is passionate about both the negotiation process, and ensuring that all procurement professionals know how to get a fair deal from their suppliers. Karen is also an MBA graduate of New Mexico State University.
