Option 1
Singapore Subsidiary Company

A subsidiary company is a locally incorporated limited liability company where, majority of shares are held by the foreign company. For tax purposes the Singapore subsidiary is treated as a resident company. A subsidiary company, with at least one individual shareholder with a minimum 10% shareholding, is entitled to local tax exemption of Zero tax for the first SGD100,000 income.

A foreign company may register a Branch office in Singapore. The Branch Office will however lack a distinct legal entity and will be treated as an extension of the foreign company. The foreign company’s headquarters is liable for all the acts, losses and debts of the Branch office. It is required to submit its own as well as the foreign company’s audited financial reports.

Singapore Representative Office

A foreign company interested in establishing operations in Singapore may explore the prospects by establishing a Representative Office (RO).
