April 17, 2014 - PRLog -- A little over a month before industries’ collective first year filing is due, the US Court of Appeals for the District Court of DC has thrown us a ‘curveball’ with the partial overruling of the SEC’s Conflict Minerals Rules.  Following the announcement, Foresite has been receiving a volume of calls looking for our insights and interpretation as to what the ruling means for this year’s filings and subsequent conflict minerals inquires.  In response, we will be offering a complementary presentation outlining our assessment of the impact NAM v. SEC, No. 1:13-cv-00635, (D.C. Cir Apr. 14, 2014).

Building on the success of our popular Conflict Minerals webinar series, Foresite has the pleasure of introducing Ashley Walter of Fenwick & West LLP.  Ashley is the chair of Fenwick’s Corporate Social Responsibility Practice Group, and the chair of the ABA Business Section’s Corporate Social Responsibility Law Task Force.  He advises many of Fenwick’s public company clients regarding conflict minerals compliance matters, and will be discussing the impact of the DC Court of Appeals decision and the status of the SEC Conflict Minerals Rules.  To supplement Ashley's presentation, Foresite will be offering a complementary presentation featuring a demonstration of our GEMS conflict minerals software and the associated data analytics requirements you will require to support your Form SD filings and conflict minerals report preparation

Given the tight timeframe for filing, and the potentially major impact these rule changes might have on your SEC filing obligation, we will be working to keep you current with the latest and most significant developments in relation to the changing SEC rules and your associated filing obligations

The topics for this session will include:

Analysis of the D.C. Court’s decision and what remains legally binding; what is remanded under the First Amendment challenge.
What is the impact on ‘free speech’ of the connotation of being “Conflict-Free” or “not Conflict Free”?
How does this impact your filing?
Understanding the difference between a supplier level survey and a product level survey?
Does this impact your data analytics tools and data collection processes?
How to interpret and imbed the ruling into next year’s inquiry?

Foresite has been working with major corporations on Conflict Minerals for the last 4 years.  Accordingly, we would like to offer our unique expertise and understanding of the obligations and interpretation of the impact these changes will have on your inquiries.
