Directors’ Remuneration Handbook

Cliff Weight, MM&K

Directors’ Remuneration Handbook is a new book that explains the complexities of directors’ remuneration in simple terms.

Providing a source of reference for key legislation and best practice guidance, it includes coverage of the Directors' Remuneration Report Regulations, first introduced in 2002, and substantially revised in 2012, requiring all quoted companies to publish all details of pay in their annual accounts.

It also covers the following key legislation and regulation:
·         Companies Act 2006
·         The Large and Medium-sized Companies and Groups (Accounts and Reports) Regulations (SI 2008/410)
·         The (prospective) Large and Medium-sized Companies and Groups (Accounts and Reports) Regulations (2013)
·         FSA Listing Rules
·         FSA Remuneration Code
·         UK Corporate Governance Code
·         Institutional Shareholders Codes of Best Practice (ABI, NAPF, PIRC, QCA, IoD, Hermes, etc.)

Which strategy is appropriate for you?
The author identifies the following seven reward strategies designed to provide motivation for directors based on business goals and circumstances:

Start up
Fast growth
Alignment to specific strategic focus
Traditional quoted plc
Long term emphasis
Recovery
Private equity

The strategies are clearly explained and explanations supported by clever tables, graphs and diagrams. There has never been a simpler way to begin to align director rewards with business objectives.

Directors’ Remuneration Handbook will prove essential reading for company directors, company secretaries, HR professionals, lawyers, accountants, academics and students studying corporate governance, journalists and anyone else wanting a better understanding of the complex issues involved.
