The Complaint alleges that the Defendants negligently misrepresented to the Plaintiffs, including failing to timely disclose, important information concerning certain material adverse events that ultimately led to Alpha's failure. The Complaint further avers that as a result of Defendants' conduct, Plaintiffs continued to hold their respective investments in Alpha which became worthless when the adverse information finally was disclosed and Alpha subsequently failed.
