The plan forecasts each unit will consist of one common share of the Company and one
common share purchase warrant, which entitles the holder to acquire one additional
common share of the Company at a price of $1.50 for a period of 24 months following
the closing of the offering and $2.00 after 24 months. The funds raised pursuant to the
offering will be used to fund the Company's current working project “Mayan
Adventures” in Cozumel, Mexico.
It is anticipated that the company will create revenue by December 2009 thru advance
ticket sales. Directors and Officers of the Company are expected to participate in the
private placement for a total amount of approximately $250,000. All securities issued in
the Offering will be subject to a twenty four month hold period from the time of offering.
Recently endorsed by the government of Cozumel, “Mayan Adventures”, the first
amusement/theme park in Cozumel, Mexico, will be built on a parcel of 90 acres of land
on the island, currently one of the top tourist destinations in Mexico. The entire park is
designed to honor the vast and rich Mayan culture and history while preserving the
natural beauty and resources of Cozumel. The two phase project is currently in the
development stage in partnership with DKY Architects of Irvine California, and is
expected to break ground in spring of 2009.
