Start your business - Why to incorporate in the United States of America

A corporation is a legal entity which has a legal personality distinct from those of its members.

The Articles of Incorporation are filed, listing the purpose of the corporation, its principal place of business and the number and type of shares of stock. A registration fee is due which will usually be between $100 and $300 depending on the state. There are no citizenship or residence requirements for ownership of a C corporation or an LLC.

Name of corporation

The laws of most states require that the name of a corporation contain the term 'corporation', 'incorporated', 'company', or an abbreviation of any of these terms. The name of a corporation may not be deceptively similar to the name of another corporation incorporated with your state, another corporation registered with your state as a foreign corporation, a trade name registered with the state, or trade name previously registered with the state.

The incorporators are the individual or individuals who sign the articles of incorporation thus requesting the state to bring the corporation into existence.

The registered agent  is the individual or corporation located within the state of incorporation who receives all legal notices from the state relative to the corporation and is recipient of service of process should the corporation be sued. All states require that a registered agent be named in the articles of incorporation.

Usually there are also Corporate Bylaws which must be filed with the state. These will outline a number of important corporate housekeeping details such as

when annual shareholder meetings will be held, who can vote and the manner in which shareholders will be notified if there is need for an additional meeting.

The officers are appointed by the board of directors. Most states require that there be a president and a secretary (although some also require a treasurer). Furthermore, the vast majority of states allow the same person to serve as both the president and secretary.

Taxes

The Corporation pays federal taxes on the net profits of the business by filing the 1120 form with the IRS. The after tax profits can be paid out to the owners in the form of dividends, or retained for reinvestment of the business. The first $50,000 of net income is only federally taxed at 15% rate, and the next $25,000 is taxed at a 25% rate. Different states have different rules on how they tax corporations.
